■ ソフトウェア使用許諾契約書

セイコーウオッチ株式会社（以下「SWC」といいます）は、お客様がこのソフトウェア使用許諾契約書（以下「本契約」といいます）に同意された場合のみ、本ソフトウェア（マニュアルを含む）の使用を許諾します。お客様が本ソフトウェアをインストールされた時点で、本契約に同意いただいたものとみなし、SWCとお客様との間で本契約が成立します。

第１条（使用許諾）

  1. SWCは、お客様に対して、本契約に定める条件に従い、SWCのNFCデータ通信ソーラーストップウオッチを使用する目的の範囲内で、本ソフトウェアを使用することができる非独占的な権利を許諾します。

第２条（権利の帰属）

  1. 本ソフトウェアに関する著作権その他一切の権利は、SWCが第三者から許諾を受けているものを除き、SWCに帰属します。本契約に明示されている場合を除き、お客様には、本ソフトウェアに関する何らの権利も付与されません。

第３条（制限）

  1. お客様は、本ソフトウェアを第三者にリース、貸与、譲渡、ネットワーク上での送信又は再使用許諾することはできません。
  2. お客様は、本ソフトウェアを複製、改変、翻案、逆アセンブル、逆コンパイル又はリバースエンジニアリングすることはできません。

第４条（免責）

  1. SWCは、お客様に対して、本ソフトウェアの商品性、特定目的への適合性、使用結果、瑕疵の不存在及び第三者の権利の不侵害を含め、本ソフトウェアに関していかなる保証も行いません。
  2. SWCは、本ソフトウェアの使用又は使用不能が原因でお客様に生じた損害（逸失利益、特別損害、間接損害、派生的損害、付随的損害、データの喪失を含む）について、一切責任を負いません。

第５条（契約の解除）

  1. SWCは、お客様が本契約のいずれかの条項に違反したときは、何らの催告を要することなく、ただちに本契約を解除するとともに、被った損害の賠償を請求することができます。
  2. 前項の場合、お客様は、ただちに本ソフトウェアの使用を中止し、本ソフトウェア及びその複製物を破棄しなければなりません。

第６条（準拠法及び管轄裁判所）

  1. 本契約は、日本法に従って解釈されるものとします。
  2. 本契約に関する紛争については、東京地方裁判所を第一審の専属的合意管轄裁判所とします。

■ Software License Agreement

SEIKO WATCH CORPORATION (hereinafter referred to as “SWC”) grants you a non-exclusive license to use the SWC’s software (including the manual; hereinafter referred to as “SOFTWARE”) on the condition that you accept the terms and conditions of this Agreement. In case you download the SOFTWARE, you shall be deemed to have accepted the terms and conditions of this Agreement and this Agreement shall become effective between you and SWC.

Article 1 (Grant of License)

  1. Subject to the terms and conditions of this Agreement, SWC hereby grants you a non-exclusive license to use the SOFTWARE only for the purpose of using the SWC’s NFC data communication solar stopwatch.

Article 2 (Ownership)

  1. The copyright and any other rights with respect to the SOFTWARE shall remain at all times with SWC and its licensor. Except as expressly provided herein, you may not be granted any right with respect to the SOFTWARE.

Article 3 (Restrictions)

  1. You shall not lease, rent, transfer, transmit over the networks or sublicense the SOFTWARE to any third party.
  2. You shall not copy, modify, adapt, disassemble, decompile or reverse-engineer the SOFTWARE.

Article 4 (Disclaimer of Liability)

  1. SWC MAKES NO REPRESENTATIONS OR WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, RESULTS OF THE USE, ABSENCE OF DEFECTS OR NON-INFRINGEMENT OF THIRD PARTY’S RIGHTS.
  2. IN NO EVENT SHALL SWC OR ITS LICENSOR BE LIABLE FOR ANY DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, SPECIAL, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES, OR LOSS OF DATA INCURRED BY YOU ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE SOFTWARE.

Article 5 (Termination)

  1. In the event of your breach of any of the provisions of this Agreement, SWC shall be entitled to immediately terminate this Agreement without any notice to you and reserve the right to claim compensation for damages incurred thereby.
  2. In the event of the foregoing, you shall immediately cease to use the SOFTWARE and destroy the SOFTWARE and the copies thereof.

Article 6 (Governing Law and Jurisdiction)

  1. This Agreement is written and executed in the English language only, but the interpretation and construction of its provisions shall be governed by the laws of Japan.
  2. The parties hereto submit to the exclusive jurisdiction of the Tokyo District Court of Japan with respect to all controversies arising from the interpretation and performance of this Agreement.
