TERMS OF USE
Please read these Terms of Use and the Website Privacy Policy of Seiko Watch Corporation (hereinafter referred to as "we", "our", or "us") carefully before entering the What’s Your Showdown Campaign on Instagram (hereinafter referred to as the “Campaign”).
By entering the Campaign, you are deemed to have agreed to these Terms of Use and
the Website Privacy Policy.
(1) You represent and warrant that you have all the rights, including but not limited to the copyright, subsisting in the videos and articles you post for the Campaign (hereinafter collectively referred to as the “Videos and Articles”). You agree to transfer all rights (including those specified under Articles 27 and 28 of the Copyright Act
of Japan) to us at the time of entry, and further agree not to object to the method or timing of publication determined by us, or to exercise the author’s moral rights. When the copyright to the Videos and Articles is transferred to us, we may, globally and free of charge, at our sole discretion and without prior notice, exercise the rights
concerning reproduction, stage or musical performance, on-screen presentation, public transmission, recitation, exhibition, distribution, transfer, rental, translation, and adaptation of the Videos and Articles, as well as the rights of the original author for the use of any derivative works created from the Videos and Articles.

(2) You agree that your Instagram username may be published or withheld at our sole discretion on the Campaign site, our official website, our official SNS, and other media (hereinafter collectively referred to as the "Official Sites").
(3) If you engage in any of the following prohibited acts, we may, at our sole discretion and without prior notice, disqualify your entry in the Campaign and withhold the publication of the Videos and Articles on the Official Sites. In the event that you breach these Terms of Use, we shall bear no responsibility whatsoever, and we reserve the
right to claim compensation for any damages caused by such breach.
(i) Any act that interferes with the operation of the Campaign
(ii) Any act that infringes our or third parties' intellectual property rights, image rights, privacy, or other rights
(iii) Any act that slanders, defames, or damages the reputation or credibility of us or third parties, or causes inconvenience, disadvantage, damage, or discomfort
(iv) Any act of posting obscene or child pornography images, or any act that is contrary to public order and morals
(v) Any act that conveys religious or political messages
(vi) Any act of providing information, advertising, or soliciting for commercial purposes
(vii) Any act that breaches laws and regulations of Japan or other countries, or Instagram's Terms of Use
(viii) Any act that we deem to be inappropriate or not in line with the purpose of the Campaign
(ix) Any other act similar to those listed above
(4) While we operate the Campaign with the utmost care, we make no warranty whatsoever regarding the information, programs, services or any other elements related to the Campaign, including but not limited to their completeness, accuracy, safety, or usefulness. The Company shall not be responsible for any damage incurred by you or third
parties, in the event that:
(i) an emergency occurs during entry or participation in the Campaign, including but not limited to software or hardware accidents, fires, power failures, or deterioration of the communication environment;
(ii) regular or emergency system maintenance is performed for the Campaign;
(iii) a dispute arises between you and other applicants, or between you and a third party;
(iv) interruption, delay, or any defect in the Campaign's services is caused by interference, information alteration, or other actions by a third party;
(v) the information including images is unable to be fully obtained for any reason; or
(vi) the information provided in the campaign was sent in error or is defective.
(5) We shall bear no responsibility whatsoever for any issues or damage (direct or indirect) arising from your entry in the Campaign. We may change or cancel all or part of the Campaign at our sole discretion and without prior notice. Furthermore, if deemed necessary, we may amend these Terms of Use without prior notice and take any actions
necessary to ensure the proper operation of the Campaign.
(6) If you are under 18 years of age, please obtain the consent of your parents before entering the Campaign.
(7) Entries with private accounts or without the designated hashtag are not eligible.
(8) Any cost of internet connection and communication incurred in making an entry shall be borne by you.
(9) These Terms of Use shall be governed by the laws of Japan.
Notes on Videos and Articles
- You may only submit Videos and Articles that show yourself. In the event that you submit Videos and Articles showing any people other than yourself, you shall obtain their permission to submit the Video and Article for the Campaign before an entry.
- Upon submitting the Videos and Articles with the designated hashtag, you agree and warrant that you have obtained the necessary permission to publish the content on the Official Sites, including but not limited to the image rights and all other rights of yourself and any third parties.
- We will remove the Videos and Articles from the Official Sites only if requested by you or a third party and approved by us. We shall not be responsible for removing any Videos and Articles shared on websites other than the Official Sites or those hosted on websites not directly operated by us.
- One entry per account is eligible.
- Multiple entries with the same Videos and Articles shall be invalid.
- Text shall not be included in the video.
